Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Boyan Georgiev, operating as StudioScope ("we," "us," or "Company"), governing your access to and use of StudioScope, available at studioscope.app and any related services, features, content, or applications (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service. Your continued use of the Service after such changes constitutes your acceptance of the updated Terms.

2. Eligibility

To use the Service, you must:

  • Be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater)
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the Service under applicable law

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Account Registration

3.1 Creating an Account

Some features of the Service require you to create an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized use of your account

3.2 Account Security

You are responsible for all activity that occurs under your account, whether or not you authorized it. We are not liable for any loss or damage arising from your failure to maintain the security of your account credentials.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms
  • Violation of our Acceptable Use Policy
  • Fraudulent, abusive, or illegal activity
  • Extended periods of inactivity
  • Requests by law enforcement or government agencies

You may delete your account at any time by contacting us at privacy@studioscope.app or through the account settings in the Service.

4. Acceptable Use

You agree to use the Service in compliance with our Acceptable Use Policy, which is incorporated into these Terms by reference. The Acceptable Use Policy prohibits, among other things, uploading illegal, obscene, or sexually explicit content, infringing on others' rights, and engaging in any activity that could harm the Service or its users.

We reserve the right to review, remove, or block any content that violates these Terms or our Acceptable Use Policy, and to suspend or terminate accounts of repeat infringers.

5. Payments and Billing

5.1 Pricing

Certain features of the Service require payment. Prices are displayed on our website and are quoted in USD. We reserve the right to change our prices at any time. Price changes will not affect existing subscriptions until the next renewal period.

5.2 Payment Processing

Payments are processed by Stripe. By making a purchase, you agree to Stripe's terms of service and privacy policy. We do not store full credit card numbers on our servers.

5.3 Subscriptions

Subscriptions automatically renew at the end of each billing period (monthly or annually) unless you cancel before the renewal date. To cancel your subscription, go to your account billing settings. Cancellation will take effect at the end of your current billing period.

5.4 Refunds

All sales are final. We do not offer refunds, except as required by applicable law or as explicitly stated in a specific plan agreement.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its original content, features, functionality, design, source code, trademarks, and logos, is and shall remain the exclusive property of Boyan Georgiev and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

6.2 Your Content

You retain ownership of any content you create, upload, or submit through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, and display your User Content solely for the purpose of operating and improving the Service.

You represent and warrant that you own or have the necessary rights to your User Content, and that it does not infringe on any third-party rights or violate any applicable law.

7. Content Moderation

You are solely responsible for your User Content and the consequences of posting or publishing it. We do not endorse, support, or guarantee the completeness, truthfulness, or reliability of any User Content.

We reserve the right, but are not obligated, to review, edit, or remove User Content that we determine, in our sole discretion, to be in violation of these Terms or our Acceptable Use Policy, including content that is illegal, obscene, pornographic, harassing, or otherwise objectionable.

8. Third-Party Services

The Service may contain links to third-party services or integrate with third-party providers, including but not limited to Stripe (payments), Vercel (hosting), Supabase (database and authentication), Cloudflare (video streaming), and Resend (email). We are not responsible for the content, privacy policies, or practices of any third-party services.

Your use of third-party services is at your own risk and subject to the terms and conditions of those services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that defects will be corrected.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BOYAN GEORGIEV, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Any loss of profits, revenue, data, goodwill, or other intangible losses
  • Any damages resulting from your access to or use of (or inability to access or use) the Service
  • Any damages resulting from unauthorized access to or alteration of your transmissions or data

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

11. Indemnification

You agree to indemnify, defend, and hold harmless Boyan Georgiev and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any law or third-party rights

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.

12.2 Informal Resolution

Before filing any formal dispute, you agree to first attempt to resolve the issue informally by contacting us at privacy@studioscope.app. We will attempt to resolve the dispute informally within 30 days.

12.3 Arbitration

Any dispute arising from these Terms that cannot be resolved informally shall be resolved through binding arbitration. The arbitration shall be conducted in London, United Kingdom. You agree that any arbitration will be conducted on an individual basis and not as a class action or representative proceeding.

13. Termination

13.1 By You

You may terminate your use of the Service at any time by deleting your account or ceasing to use the Service.

13.2 By Us

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including if you breach these Terms or our Acceptable Use Policy.

13.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease and we may delete your account and User Content, subject to our data retention policies.

14. DMCA / Copyright Infringement

We respect the intellectual property rights of others and expect our users to do the same. If you believe that any content available through the Service infringes upon your copyright, please notify us at privacy@studioscope.app with the following information:

  • A description of the copyrighted work you claim has been infringed
  • A description of where the infringing material is located on the Service
  • Your address, telephone number, and email address
  • A statement that you have a good faith belief that the use is not authorized by the copyright owner
  • A statement, made under penalty of perjury, that the information above is accurate and that you are the copyright owner or authorized to act on their behalf
  • Your physical or electronic signature

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and Acceptable Use Policy, constitute the entire agreement between you and us regarding the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
